These Terms of Use (the “Terms”) apply to all users of https://www.psymposia.com and https://store.psymposia.com, RSS feeds, newsletters, and related applications, (“Services”) that are operated by or controlled by Psymposia, Inc, ( “Psymposia,” “we,” “us,” or “our”). Users of our services must accept these Terms of Use, as well as Psymposia, Inc’s Privacy Policy, to interact with our services. Any reference to “Terms of Use” herein includes Psymposia, Inc’s Privacy Policy. We reserve the right at any time to change the terms, conditions, and notices for which the Terms of Use are offered, including but not limited to these Terms of Use. Updates will be posted online. You should periodically review the Terms of Use to stay informed of updates.

General Use
Psymposia, Inc is a 501(c)(3) non-profit media organization that that uses journalism and essays to shine a light on the complex connections between drugs and society, psychedelics and mental health, science and capitalism, technology and politics, mass incarceration, culture, conflict, cartels, and everything in between.

By using our Services you agree that you will not: (1) use our Services for any commercial purpose, (2) engage in copyright infringement and, (3) violate our Terms of Use or Privacy Policy in any way. You also agree to not: (4) violate any local, state, national, or international law or regulation; (5) transmit any material that is abusive, harassing, tortious, defamatory, vulgar, pornographic, obscene, libelous, invasive of another’s privacy, hateful, or racially, ethnically, or otherwise objectionable; (6) transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of solicitation; (7) transmit any material that contains adware, malware, spyware, software viruses, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment; (8) stalk, harass, or harm another individual, including revealing the identity of any fellow user on the Services; (9) impersonate any person or entity, or otherwise misrepresent your identity or affiliation with a person or entity; (10) use any “robot,” “spider,” “rover,” “scraper,” or any other data-mining technology or automatic or manual process to monitor, cache, frame, mask, extract data from, copy, or distribute any data from the Services, our network or databases; or (11) interfere with or disrupt the Services or servers or our networks, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services. You agree that we may use any information that we obtain about you in accordance with the provisions of our Privacy Policy.

You must be at least 13 years old to use the Services. Access to or use of our Services by anyone under the age of 13 is expressly prohibited. Even if you are old enough to use the Services and/or have your parent’s or guardian’s permission, some of the content available within the Services may not be appropriate for you. Some content may contain mature subject matter. If you are under 18, do not view such content.

Termination
Your use of the Services is subject to your ongoing compliance with these Terms of Use. You understand and agree that Psymposia, Inc may terminate and/or suspend your access to any portion of the Services for any reason, including your failure to comply with these Terms of Use. Any such termination or suspension shall be our sole discretion and may occur without prior notice, or any notice. Psymposia, Inc also reserves the right to terminate or suspend any user’s access to our Services or to any portion of the Services for any conduct that Psymposia, Inc, in its sole discretion, believes is or may be directly or indirectly harmful to other users, its staff,, subsidiaries, affiliates, or business contractors, or to other third parties, or for any conduct that violates any local, state, federal, or foreign laws or regulations. Psymposia, Inc may terminate and/or suspend your access if it detects or has reason to suspect any breach of security or unauthorized use of your account. If you have violated these Terms, we reserve the right to terminate access to our Services.

Donors
When you become a patron or donor you provide us with certain information. By donating, you agree: (1) to these Terms and to the collection, use and sharing of your information as outlined in our Privacy Policy; (2) you are responsible for all activities that occur in association with your donation – regardless if you authorized the donation; (3) you agree to abide by the Services use restrictions set out in our Terms; and (4) Psymposia, Inc will not be liable for  loss or damage to you or any third party due to your failure to abide by any of the foregoing obligations. By donating, you agree that processed transactions will not be refunded.

Communications
Please not, you are responsible for any and all information that you submit to Psymposia, Inc. By using our Services, you automatically agree that none of the information you submit will: (1) be commercially unsolicited in nature; (2) promote hate or sexual violence, threaten, abuse, defame, harass, stalk, or intimidate; (3) use racially, supremacist, or ethnically offensive language; (4) promote illegal activity; or (5) infringe copyright or other rights of third parties. We have the right to delete, moderate, or alter any information you post on our Services.

Any time you submit information to Psymposia, Inc by email or comment, you grant us a perpetual, unconditional, non-exclusive, worldwide, irrevocable, unrestricted, transferable, unlimited, and free right and license to copy, distribute, use, record, replicate, broadcast, disclose, display, sell, re-sell, publish, sublicense, transmit, translate, make derivative works, or use in any way we choose, all or any amount of the data and derivative works, for whatever reason in any formats, on or through any medium, and with any technology, and to promote, market and advertise. By using our Services, you agree to waive your rights that you have to that information, even if that information may be altered in a way you disagree with. To the extent not waivable, you irrevocably agree not to exercise such rights in a manner that interferes with any exercise of the granted rights. You understand that you will not receive any fees, sums, consideration, or remuneration for any of the rights granted in this Section. Our receipt of the information you submitted by email or comment is not an admission of its novelty, priority, or originality, nor does it impair our right to contest current or future intellectual property rights of the information. Subject to the rights and license you grant in these Terms, you possess whatever remaining legal, title, or interest in the information you have submitted to us via our Services.

Content
To republish any content, you must first receive written permission. Please read our Editorial Policy > Republishing Requests found here. Any unauthorized use of any Content on the Services for any purpose is prohibited.

Our Services contain: (1) materials and other items relating to Psymposia, Inc and its products and services, and similar items from our licensors and other third parties, including all layout, information, databases, articles, posts, text, data, files, images, scripts, designs, graphics, instructions, illustrations, photographs, sounds, pictures, videos, URLs, technology, software, interactive features, the “look and feel” of the Services, and the compilation, assembly, and arrangement of the materials of the Services and any and all copyrightable material; (2) trademarks, logos, trade names, trade dress, service marks, and trade identities of various parties, including those of Psymposia, Inc; and (3) other forms of intellectual property (all of the foregoing, collectively “Content”). Our Services are provided for your personal, noncommercial use only. Unless we have identified elsewhere on the Services, all right, title, and interest in and to the Content and the Services is the property of Psymposia, Inc or its licensors or third parties, and is protected by United States and international copyright, trade dress, trademark, patenting and/or other IP and unfair competition rights, and international conventions, to the maximum extent possible under law. Except as we have explicitly stated in these Terms of Use, you do not have the rights to recreate, reproduce, copy, distribute, disseminate, display, remix, edit, perform, derive, or otherwise use any of Psymposia, Inc’s Content or Services.

By accessing our Services you consent and opt-in to the collection, use and sharing of your information you provided as indicated in our Privacy Policy. Subject to your compliance with these Terms of Use, Psymposia, Inc grants you a limited, non-exclusive, revocable, non-assignable, personal, and non-transferable license to download, display, view, use, and play the Content on your PC, browser, laptop, tablet, or mobile device. We may grant you rights to print and distribute physical copies of content if you email us first.

Users of our Services may not replicate, store, or disseminate copies of any our out Content, in any form, or exploit any of our Content or our Services for any commercial reason, without written consent from Psymposia, Inc and/or its licensors or other third party copyright owners. The foregoing limited license (1) does not grant any ownership, or any additional IP interest in, any Content, and (2) may be immediately suspended or terminated for any reason, in Psymposia, Inc’s sole discretion, and without prior notice or liability. Any unauthorized use of our Services or Content will violate copyright, trademark, privacy, publicity, communications, and various other laws. Any such unauthorized use as described above may result in personal and/or criminal liability.

Psymposia, Inc grants you a limited and revocable license for you or your organization to link to Content located our Services as long as linked Content does not indicate in any manner whatsoever that we endorse, sponsor, promote, or are affiliated with you, your organization, your website, or your service.  Psymposia, Inc reserves the right to terminate this license at any time for any reason or no reason. .

Any and all rights in our Terms that are not expressly granted to you are reserved by Psymposia, Inc and its licensors and any other third parties. No right or license may be construed, under any legal theory, by implication, estoppel, industry custom, or otherwise.

Copyright
All Content provided by Psymposia, Inc on our Services, including, without limitation, articles, graphics, video, audio, text, photos, data, and information (the “Content”), is protected under US and international copyright laws, is subject to other intellectual property and proprietary rights laws, and is owned by us or our licensors. Except as expressly permitted in writing from Psymposia, Inc, as indicated below, the Content may not be copied, modified, reproduced, republished, posted, transmitted, sold, offered for sale, or redistributed in any way without our prior written permission and that of our applicable licensors, and you must abide by all copyright notices, information, or restrictions contained in or attached to any Content. We give you a personal, revocable, non-assignable, non-sublicensable and non-exclusive right to access and use the Services in the manner permitted by these Terms.

Psymposia, Inc respects the intellectual property rights of others, and expects those who use the Services to do the same. If you are a copyright owner who believes your copyrighted material has been copied on the Services in a way that constitutes copyright infringement in the U.S.A., please notify Psymposia, Inc of your claim of infringement by sending the following written information to this email address, designated as such pursuant to the Digital Millennium Copyright Act (“DMCA”), 17 U.S.C. § 512(c)(2).

(1) a thorough description of the copyrighted content that is allegedly being infringed upon; (2) an accurate digital location of the allegedly infringing Content on our Services; (3) contact information where we can reach you, including your physical address, mobile number, and email; (4) a statement by you indicating that you have a good-faith belief that the allegedly infringing use is not authorized by the copyright owner, its agent, or the law; (5) a statement by you, made under penalty of perjury, affirming that the information in your notice is accurate and that you are authorized to act on the copyright owner’s behalf; and (6) an electronic or physical signature of the copyright owner or someone authorized on the owner’s behalf to assert infringement of copyright and to submit the statement. We will respond to notices that we receive of claimed copyright infringement in accordance with the Digital Millennium Copyright Act. It is our policy in appropriate circumstances to disable and/or terminate the accounts of users who are repeat infringers.

Commercial Use
You may not use, copy, create any derivative works, resell, distribute, or make any commercial use of (other than to keep and share information for your own non-commercial purposes) any Content, articles, podcasts, audio, video, graphics, materials, biographies, designs, databases, or any other information not listed here from our network or systems or Services. You may not sell, sublicense, or redistribute Content from our Services or integrate them (or any portion of them) into any product. You may not reverse-engineer, deconstruct, decompile, or disassemble the software applications or otherwise attempt to derive the source code (except where expressly permitted by law) or the communications protocol for accessing the Services or our networks. You may not modify, adapt, or create derivative works from the software applications or remove proprietary notices therein.

Our Services may provide links to other websites or resources for your convenience only, and such links do not signify or imply our endorsement, promotion, or support for such other sites or resource or its contents. You agree that we shall have no responsibility or liability for the accuracy, completeness or veracity of any information, software, or materials found at any other site or internet resource.

Information, software, products, and services included in, or available through, our Services are continually being updated and upgraded. Psymposia, Inc does not represent that these services are reliable, accurate, complete, or otherwise valid. Accordingly, our services are provided as is with no warranty of any kind and you use the service at your own risk. Psymposia, inc expressly disclaims any warranty, express or implied, regarding the services or their content, including but not limited to, any implied warranty of merchantability, warranty of satisfactory purpose, fitness for a particular purpose, non-infringement, compatibility, security, and accuracy. Some states do not allow the exclusion of warranty, so the above exclusions may not apply to you.

The information on our Services may contain inaccuracies and typographical errors. Psymposia, Inc does not warrant the accuracy or completeness of the information or the reliability of any statement or other information displayed or distributed through our Services (including, without limitation, any Third-Party Submissions). You acknowledge that by relying on any such statement or information shall be at your own personal risk. Psymposia, Inc reserves the right, at our sole discretion, to correct any errors or omissions anywhere on our Services and to make changes to our Services as we see necessary at any time without notice.

Psymposia, Inc does not warrant that the functions of our Services will be uninterrupted or free from error, that errors will be corrected, or that our Services or the servers they run on are free of malware, bugs, or viruses. Psymposia, Inc does not guarantee the full functionality, accuracy, or reliability of any Content delivered by our Services. Psymposia, Inc may choose to terminate, modify, revoke, suspend or discontinue any part of our Services, including the availability of any Content of our Services, for any reason or at any time without notice to users or liability.

Liability
To the maximum extent permitted by law, in no event shall Psymposia, Inc and/or its subsidiaries, affiliates, licensors, employees or agents be liable for any direct, indirect, punitive, incidental, special, or consequential damages, or any damages whatsoever, including, without limitation, damages for loss of use, data, or profits arising out of or in any way connected with the use or performance of the services, the delay on inability to use the services, the provision of or failure to provide services, or any information, software, products, services, and related graphics obtained through the services or otherwise arising out of the use of the services, whether based on contract, tort, negligence, strict liability, or otherwise, even if Psymposia, Inc, subsidiaries, affiliates, licensors, employees or agents have been advised of the possibility of damages. Because some states/jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you. If you are dissatisfied with any portion of the Services, or with any of these Terms of Use, your sole and exclusive remedy is to discontinue accessing and using the Services.

Jurisdiction
These Terms of Use shall be governed by and construed in accordance with the laws of the State of Rhode Island and Providence Plantations. Disputes arising from these Terms of Use or your use of the Services website shall be exclusively subject to the jurisdiction of the courts of Rhode Island. Any cause of action you may have with respect to your use of our Services must be commenced within one (1) year after the claim or cause of action arises.

Psymposia, Inc makes no representation that materials on our Services are appropriate or available for use at other locations outside of the United States, and access to them from territories where their contents or such access are illegal is strictly prohibited. If you access our Services from a location outside of the United States, you are responsible for compliance with all local laws.

Exclusions, Limitations, Modifications
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations and disclaimers may not apply to you. To the extent that we may not, as a matter of applicable law, disclaim any implied warranty or limit its liabilities, the scope and duration of such warranty and the extent of our liability shall be the minimum permitted under such applicable law. We may, in our discretion, change any of these Terms of Use at any time. We will update any such changes on the Services. If you object to any such changes, your only recourse is to stop using our Services. Your continued use of our Services after any changes indicates your acknowledgment of such changes and your agreement to be bound by the terms and conditions of such changes. We reserve the right to modify or discontinue all or any aspect of the Services without notice to you. We are not liable to you or any third party for losses of any kind arising from Psymposia Inc’s exercise of its right to modify or discontinue the services.

Miscellaneous
These Terms of Use, together with the terms of our Privacy Policy to which you agree when using our Services and any additional terms to which you agree when using particular elements of the Services, constitute the entire, exclusive and final statement of the agreement between you and us with respect to the subject matter hereof, and govern your use of the Services, superseding any prior agreements or negotiations between you and us with respect to the subject matter hereof. In the event of any conflict between these Terms of Use and terms of a specific Service, these Terms shall govern.
